Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ND SOFT LLC, which operates ProblemToMVP ("we", "us"), and govern your access to and use of our website and service (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract. If you use the Service for an organization, you represent that you are authorized to accept these Terms on its behalf.

ProblemToMVP helps you discover, validate, and plan SaaS opportunities using AI. The Service is offered during Early Access and is provided on an evolving basis: features may be added, changed, or removed.

You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

Paid plans are billed in advance on a recurring monthly basis through Stripe and renew automatically until cancelled. Prices, taxes, and applicable fees are shown at checkout. Builder pricing, where offered, remains fixed for the life of a continuously active subscription; prices for new sign-ups may change. You authorize us and Stripe to charge your payment method for each renewal until you cancel.

You can cancel anytime, and your access continues through the end of the current billing period. Refunds are governed by our Refund Policy, which includes a 7-day satisfaction guarantee for new customers.

You agree not to:

• use the Service for unlawful, harmful, deceptive, or infringing purposes;
• attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service;
• resell, sublicense, or provide access to the Service without our permission;
• use automated means to abuse free usage, credits, or the AI features;
• submit content you do not have the right to submit, or that violates the rights of others.

Results are produced by AI and may be inaccurate, incomplete, outdated, or similar to content seen elsewhere. They are suggestions only and are not professional, legal, financial, or investment advice. You are responsible for independently validating any output before relying on it, building a product, or making decisions. We do not warrant that generated content is original, non-infringing, or fit for any particular purpose.

Reports may include figures such as revenue potential, market size, pricing suggestions, demand estimates, and opportunity scores. These are illustrative AI-generated estimates, not promises, projections, or guarantees of income. Whether any idea earns revenue depends entirely on factors outside our control, including your own execution, marketing, timing, competition, and market conditions. We do not guarantee that any opportunity will be profitable or viable, or that you will earn any amount, and nothing in the Service is financial or investment advice.

You own the inputs you submit and the outputs you generate, to the extent permitted by law. You grant us a limited license to host, process, and display your content solely to operate and improve the Service. We own the Service itself, including its software, design, branding, and underlying technology. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

The Service relies on third parties including Stripe (payments), Anthropic (AI), Google Firebase, and Vercel. Your use of those features may be subject to their terms, and we are not responsible for their acts or omissions.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy, reliability, or uninterrupted availability. We do not guarantee any particular results from using the Service.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim is limited to the greater of the amount you paid us in the 3 months before the claim, or 50 US dollars.

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or the rights of others.

We may suspend or terminate your access if you violate these Terms or abuse the Service. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

We may modify the Service or these Terms. For material changes to the Terms, we will update the date above and take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Arizona for any dispute that is not subject to arbitration or small-claims resolution.

If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and us regarding the Service.
